This is the agreement between the yard owner and the renter for every booking. It is a licence to use land, not a lease — and that distinction is the point of it. The renter accepts it when booking; the owner accepts it when approving. Each booking's copy has the dates, fee and property filled in.

STORAGE LICENSE AGREEMENT
SHORT-TERM REVOCABLE LICENSE FOR OPEN-YARD STORAGE
This Storage License Agreement ("Agreement") is entered into as of ______________ ("Effective Date"), by and between:
PROPERTY OWNER: ______________ ("Owner")
and
LICENSEE: ______________ ("Licensee")
Owner and Licensee may each be referred to as a "Party" and collectively as the "Parties."
1. LICENSED AREA
Owner is the owner or authorized operator of the property located at: ______________ (the "Property").
Subject to the terms and conditions of this Agreement, Owner grants Licensee a limited, temporary, personal, revocable license ("License") to place and store the property identified in the booking within the portion of the Property designated by Owner (the "Licensed Area").
The Licensed Area is an open yard and is not a building, enclosed warehouse, storage unit, dwelling, or other enclosed storage facility. The precise location within the yard may be designated by Owner and may be changed by Owner upon reasonable notice to Licensee.
2. LICENSE – NOT A LEASE
The Parties expressly intend and agree that this Agreement creates a temporary license and not a lease, tenancy, easement, possessory interest, or other interest in real property. Licensee receives only a limited contractual privilege to use the Licensed Area for the specific storage purpose stated in this Agreement. Licensee does not receive exclusive possession of the Licensed Area.
Owner retains possession, control, and dominion over the Property and may enter, inspect, access, relocate, reconfigure, maintain, repair, or otherwise use the Licensed Area and surrounding Property at any time.
Nothing contained in this Agreement shall be construed to: create a landlord-tenant relationship; create a tenancy at will, month-to-month tenancy, or tenancy for years; grant Licensee exclusive possession; grant Licensee any right to exclude Owner or third parties authorized by Owner; constitute a conveyance of an interest in real property; or create any right of renewal or continued occupancy.
The Parties intend that the License be interpreted and enforced as a license to use property, to the fullest extent permitted by applicable law.
3. TERM
The License shall commence on ______________ and shall expire automatically on ______________ ("Expiration Date"). The License is expressly short-term and temporary. Licensee shall have no right to remain on or use the Licensed Area after the Expiration Date.
Any extension or renewal must be expressly agreed to through a new booking on the FlexYard platform accepted by Owner. Continued use or acceptance of payment shall not, to the fullest extent permitted by law, constitute a renewal, extension, or license.
4. REVOCABILITY
The License is revocable by Owner in accordance with this Agreement and applicable law. Owner may revoke the License upon written notice to Licensee if Licensee breaches this Agreement; fails to pay any amount when due; stores unauthorized property; engages in a prohibited use; creates a safety, environmental, fire, security, or other hazard; causes or threatens damage to the Property; fails to maintain required insurance; if governmental authorities require termination or modification of the storage arrangement; if Owner reasonably determines that continued storage is inconsistent with the operation, safety, or use of the Property; or upon any other circumstance that permits termination under this Agreement or applicable law.
Except in circumstances requiring immediate termination, Owner shall provide Licensee with thirty (30) days' written notice of revocation. Where Owner reasonably determines that an immediate threat to persons, property, or the environment exists, Owner may revoke the License immediately to the extent permitted by law.
5. LICENSE FEE
Licensee shall pay Owner a license fee of $________ per [day/week/month/term] (the "License Fee"), paid through the FlexYard platform, which processes payment on Owner's behalf. Payment of the License Fee is consideration for the limited license granted under this Agreement and is not rent.
6. FEE HOLD AUTHORIZATION
No fee hold applies to this booking.
The fee hold authorization does not limit Licensee's liability for amounts exceeding the fee hold.
7. PERMITTED STORAGE
Licensee may store only the property described in the booking. The property shall remain in substantially the same condition and configuration unless Owner provides prior written authorization. Licensee shall not use the Licensed Area for any purpose other than the approved storage of the identified property. No business, manufacturing, repair, processing, sales, customer activity, residential activity, or other use may be conducted in the Licensed Area.
8. PROHIBITED PROPERTY
Licensee shall not store any of the following without Owner's express written consent: hazardous materials; explosives, fireworks, or ammunition; firearms or weapons; flammable, combustible, corrosive, toxic, radioactive, or explosive substances; fuel, gasoline, diesel, oil, or petroleum products; chemicals, pesticides, or regulated substances; hazardous or regulated waste; perishable food or other materials likely to attract pests; illegal goods or contraband; animals or livestock; stolen property; property that creates excessive noise, odors, dust, vibration, leakage, or environmental risk; property that violates any applicable law or governmental requirement; or any property that Owner reasonably determines presents a risk to persons or property. Owner may require immediate removal of any prohibited or unauthorized property.
9. CONDITION OF STORED PROPERTY
Licensee represents that all property stored on the Licensed Area is lawfully owned or controlled by Licensee; is not stolen or subject to any undisclosed legal restriction; does not contain hazardous materials except as expressly disclosed and approved; is suitable for outdoor storage; and can safely remain outdoors without creating an unreasonable risk to the Property or third parties.
Licensee acknowledges that the Licensed Area is an outdoor, open-air yard and that property stored there may be exposed to rain, snow, ice, wind, sunlight, heat, cold, moisture, flooding, dirt, dust, insects, animals, and other environmental conditions.
10. ACCESS
Licensee may access the Licensed Area only during the hours stated in the listing. Owner may modify access hours for security, maintenance, emergency, operational, or other reasonable purposes. Access outside authorized hours requires Owner's prior approval. Owner may require Licensee to comply with reasonable gate, parking, identification, security, and access procedures.
11. NO EXCLUSIVE POSSESSION
Licensee acknowledges that Owner, Owner's employees, contractors, agents, invitees, governmental authorities, and other persons authorized by Owner may enter the Property and Licensed Area. Owner may inspect the stored property and Licensed Area at reasonable times. Owner may enter without advance notice in an emergency or where Owner reasonably believes that a violation, hazardous condition, damage, unauthorized activity, or other urgent circumstance exists.
12. RELOCATION OF STORED PROPERTY
Owner may require Licensee to relocate stored property within the Property upon reasonable notice when reasonably necessary for maintenance, construction, safety, security, access, governmental requirements, or operational reasons. Licensee shall promptly comply with a relocation request. If relocation is necessary because of Licensee's breach, unauthorized use, or unsafe condition, Licensee shall bear all reasonable costs of relocation.
13. NO ALTERATIONS
Licensee shall not dig, excavate, drill, grade, pave, or disturb the ground; install foundations or permanent structures; erect sheds, containers, fencing, tents, or structures; install utilities; attach anything to fences, gates, buildings, poles, trees, or other improvements; install signage or advertising; modify drainage or landscaping; or otherwise alter the Licensed Area, without Owner's prior written consent.
14. INSURANCE
Throughout the Term, Licensee shall maintain insurance appropriate to the nature of the stored property and Licensee's activities. Unless otherwise agreed in writing, Licensee shall maintain Commercial General Liability Insurance with limits of not less than $1,000,000 per occurrence and $2,000,000 aggregate. If vehicles are stored on the Property, Licensee shall maintain automobile liability insurance of not less than $1,000,000 combined single limit. Owner may require additional insurance based upon the nature or value of the property being stored.
If employees, workers, or contractors will perform services at the Premises, Licensee shall maintain Workers' Compensation insurance at statutory limits as required by applicable law, together with Employers' Liability coverage of not less than $500,000, or such greater amount as required by law or Owner.
15. CERTIFICATE OF INSURANCE
Before accessing the Licensed Area, Licensee shall provide a certificate of insurance evidencing the required coverage. Owner and any additional parties designated by Owner shall be named as Additional Insureds where commercially available and applicable. The certificate shall identify Owner and any other party designated by Owner as an Additional Insured on a primary and non-contributory basis with respect to liability arising from Licensee's use of the Premises. The required coverage shall remain in effect throughout the entire Term. Failure to maintain or provide evidence of required insurance constitutes a material breach of this Agreement.
16. LICENSEE'S PROPERTY STORED AT SOLE RISK
All property placed or stored on the Licensed Area is stored solely at Licensee's risk. Owner does not provide warehousing, safekeeping, security, custodial, bailee, or storage services for Licensee's property. Owner shall not be responsible for loss of or damage to Licensee's property resulting from theft, vandalism, weather, wind, rain, snow, flooding, fire, animals, insects, unauthorized third parties, falling objects, utility interruption, natural deterioration, or other causes, except to the extent liability cannot lawfully be excluded. Licensee is solely responsible for obtaining property insurance covering the full replacement value of all stored property.
17. SECURITY
Unless expressly agreed otherwise in writing, Owner does not represent or warrant that the Property is secure or that theft, vandalism, trespass, or other criminal activity will not occur. Licensee shall take reasonable precautions to secure its property. Owner shall have no obligation to provide security personnel, surveillance, lighting, fencing, locks, or other security measures beyond those Owner ordinarily maintains for the Property.
18. MAINTENANCE OF STORED PROPERTY
Licensee shall maintain all stored property in a safe and lawful condition and shall promptly remove any property that becomes unsafe, damaged, leaking, unstable, contaminated, abandoned, or otherwise hazardous. Licensee shall not perform repairs, maintenance, fueling, dismantling, washing, painting, or mechanical work on stored property without Owner's prior written consent.
19. ENVIRONMENTAL PROTECTION
Licensee shall not release, spill, discharge, leak, or dispose of any hazardous substance, petroleum product, chemical, waste, or contaminant on the Property. Licensee shall immediately notify Owner of any spill, leak, release, or suspected contamination, and shall be responsible for all reasonable costs of investigation, containment, cleanup, remediation, disposal, restoration, governmental compliance, and professional services arising from any release caused by Licensee or persons acting on Licensee's behalf.
20. DAMAGE TO PROPERTY
Licensee shall be responsible for damage to the Property caused by Licensee or Licensee's employees, contractors, agents, guests, invitees, vehicles, or stored property, and shall reimburse Owner for reasonable repair and restoration costs.
21. INDEMNIFICATION
To the fullest extent permitted by law, Licensee shall defend, indemnify, and hold harmless Owner and Owner's members, managers, officers, employees, agents, contractors, affiliates, successors, and assigns from and against claims, damages, liabilities, losses, fines, penalties, costs, and reasonable attorneys' fees arising from Licensee's use of the Property; Licensee's stored property; the acts or omissions of Licensee or persons acting on Licensee's behalf; bodily injury or property damage caused by Licensee; Licensee's breach of this Agreement; environmental contamination caused by Licensee; or Licensee's violation of law. Nothing in this provision shall require Licensee to indemnify Owner for Owner's own negligence or willful misconduct to the extent prohibited by applicable law.
22. COMPLIANCE WITH LAW
Licensee shall comply with all applicable federal, state, county, municipal, zoning, environmental, fire, safety, and other laws, rules, regulations, ordinances, and governmental requirements, and shall obtain all permits, registrations, licenses, and approvals required for the storage or use of the stored property. Owner's approval of storage does not constitute governmental approval.
23. DEFAULT
Each of the following constitutes a default: failure to pay the License Fee; failure to maintain required insurance; storage of unauthorized property; violation of any material provision of this Agreement; illegal activity; damage to the Property; creation of a hazardous or unsafe condition; unauthorized assignment or transfer of the License; or failure to remove property when required. Upon default, Owner may exercise any remedies available under this Agreement or applicable law, including revocation of the License.
24. TERMINATION AND REMOVAL
Upon expiration or termination of the License, Licensee shall immediately cease using the Licensed Area; remove all stored property; remove all debris and trash; repair damage caused by Licensee; and leave the Licensed Area in substantially the condition in which it was provided. Unless immediate removal is required for safety, legal, or environmental reasons, Owner may provide Licensee with fourteen (14) days' written notice to remove stored property following termination.
25. PROPERTY REMAINING AFTER EXPIRATION OR TERMINATION
If Licensee fails to remove property by the required deadline, Owner may, subject to applicable law, take reasonable steps to remove, transport, store, sell, dispose of, or otherwise handle the property. Licensee shall be responsible for reasonable costs incurred by Owner in connection with such property. Owner's rights concerning abandoned property shall be exercised in accordance with any applicable statutory notice, lien, disposition, or other requirements. Nothing in this Agreement is intended to waive any mandatory legal procedure governing the disposition of property.
26. HOLDOVER
Licensee has no right to remain on the Property or leave property on the Licensed Area after the Expiration Date. If Licensee's property remains after expiration without Owner's written consent, Licensee shall be charged a holdover fee at the daily equivalent of the License Fee plus any applicable removal, storage, security, cleanup, or other reasonable costs. Acceptance of a holdover payment shall not create a lease, tenancy, renewal, or extension.
27. NO SUBLICENSE OR ASSIGNMENT
The License is personal to Licensee. Licensee shall not assign, transfer, sublicense, share, or otherwise permit another person or entity to exercise the License without Owner's prior written consent.
28. NO PUBLIC ACCESS
The Licensed Area is not open to the general public. Licensee shall not permit customers, guests, invitees, or other third parties to use the Licensed Area except as reasonably necessary for the approved storage purpose and subject to Owner's rules. Licensee is responsible for the conduct of all persons it brings onto the Property.
29. NO LIEN OR ENCUMBRANCE
Licensee shall not permit any mechanic's lien, materialman's lien, judgment lien, or other encumbrance to be filed against the Property arising from Licensee's activities, and shall promptly discharge or bond off any such lien at its sole expense.
30. NO REPRESENTATIONS REGARDING SECURITY OR CONDITION
Except as expressly stated in this Agreement, Owner makes no representation or warranty regarding the security, suitability, condition, drainage, weather exposure, accessibility, or fitness of the Licensed Area for Licensee's stored property. Licensee acknowledges that it has had an opportunity to inspect the Licensed Area and accepts it in its present condition.
31. CANCELLATION
Licensee may cancel the booking by providing written notice to Owner through the FlexYard platform. Cancellation fees and refund rights shall be as follows:
· More than seven (7) days before the booking start date: full refund
· Two (2) to seven (7) days before the booking start date: 50% refund
· Less than forty-eight (48) hours before the booking start date: no refund
Owner may cancel a booking when reasonably necessary because of unsafe conditions, governmental restrictions, emergency circumstances, property damage, or other circumstances beyond Owner's reasonable control. Where Owner cancels, Licensee receives a full refund.
32. FORCE MAJEURE
Owner shall not be liable for delay, interruption, or inability to provide access caused by fire, flood, severe weather, governmental action, utility failure, natural disaster, emergency, labor dispute, or other circumstances beyond Owner's reasonable control.
33. NOTICES
Any notice required under this Agreement shall be delivered through the FlexYard platform, by email to the addresses on each Party's account, or by recognized overnight delivery service or certified mail. Notice shall be effective upon actual receipt or as otherwise provided by applicable law.
34. GOVERNING LAW
This Agreement shall be governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any legal proceeding arising from this Agreement shall be brought in a court of competent jurisdiction in New York County, New York, unless applicable law requires otherwise.
35. SEVERABILITY; ENTIRE AGREEMENT; NO WAIVER
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement, together with the booking record and the FlexYard Terms of Service, constitutes the entire agreement concerning the License and supersedes all prior discussions and agreements concerning the Licensed Area. Any modification must be agreed by Owner and Licensee through the platform or in writing. Failure by Owner to enforce any provision shall not constitute a waiver of Owner's right to enforce that provision thereafter.
36. COUNTERPARTS AND ELECTRONIC SIGNATURES
This Agreement shall be executed by electronic signatures. Such electronic signatures shall be treated as originals to the fullest extent permitted by law. All dates, fees, authorized fee hold amounts, and property details appear on the platform. No "hard copy" records will be generated.
37. ACKNOWLEDGMENT OF LICENSE NATURE
Licensee specifically acknowledges and agrees that the arrangement is a license and not a lease; Licensee does not receive exclusive possession of the Licensed Area; Owner retains control and possession of the Property; Owner may enter and inspect the Licensed Area; the License is temporary and revocable as provided herein; Licensee acquires no ownership interest or estate in the Property; Licensee has no right to renew or extend the License except by a new written agreement, which may be formed by a new booking accepted by Owner through the FlexYard platform; and payment of the License Fee does not constitute payment of rent or create a tenancy.
Licensee represents that it has had an opportunity to consult with independent legal counsel concerning the nature and effect of this Agreement.
